AFFIDAVIT

COUNTY OF McLENNAN)

BEFORE ME, the undersigned authority, on this day personally appeared Florence Houteff, and J. O. Conrad, who being by me duly sworn on oath, each deposes and says that Affiant, Florence Houteff is Vice-President of General Association of Davidian Seventh-Day Adventists and is Chairman of the Executive Council, and has held said offices for the period of several years; that affiant, J. O. Conrad, is Secretary of said Association, Secretary of said Executive Council and a member of the Board of Trustees of said Association and has held such offices for a period of several years; that the facts stated in Affidavit by Affiant, Florence Houteff, date July 22nd, 1955, recorded in Volume 770, Page 264, Deed Records of McLennan County, Texas, are in all things true and correct and the portion of the bylaws quoted therein are now in full force and effect and have not been changed.

That the following resolution was unanimously adopted by the First Special Session of General Association of Davidian Seventh-Day Adventists, a meeting duly called of the members of said Association, convened at Mt. Carmel Center, McLennan County, Texas, September 24th – 29th, 1961, to wit:

“Resolved that the following Article (VII) be included to the Constitution of the Association in order to set forth therein the Association’s provision for the handling of its land transactions:

“ARTICLE VII. Trustees.

“Section 1. A board of trustees shall be composed of four members.

“Section 2. Any three may act.

“Section 3. The trustees shall be appointed or removed by the Executive     Council.

“Section 4. The trustees are authorized to act in behalf of the Association in    acquiring or selling property approved by the Executive Council.”

That said resolution remains in full force and effect.

That the Board of Trustees of said Association is now composed of Affiants, Florence Houteff and J. O. Conrad and Sopha Delle Hermanson and Jack Knipple, the latter being now temporarily in the State of California; that the said Jack Knipple was elected to the office of Trustee for said Association as reflected by resolution adopted May 19th, 1955, and recorded in Volume 765, Page 466, Deed Records of McLennan County, Texas;

That Affiants, Florence Houteff and J. O. Conrad and the said Sopha Delle Hermanson, were duly elected as such Trustees many years prior to the election of the said Jack Knipple, and have served as such continuously and are now serving and acting as such and all of said four (4) constitute the entire membership of said Board of Trustees of said Association.

That General Association of Davidian Seventh-Day Adventists is an Association, unincorporated, constituting a Church; that the general headquarters and general administrative office of the said Association is located in McLennan County, Texas and [remainder missing].

[First part missing] has acted as such continuously, the membership of which has, from time to time, changed because of vacancies and appointments made by members of said Executive Council by authority vested in it under the bylaws of said Association, Article I, Section 1-(c) herein – before referred to; that the present only elected, acting and authorized members of said Executive Council are Affiants, Florence Houteff and J.O. Conrad and T.O. Hermanson, M. W. Wolfe, Mary Allen and Sopha Delle Hermanson; that J. R. Custer is an alternate member of said Council, who acts in the absence of one of the afore named members; that the Executive Council of said Association is the governing body thereof, acting as such under and by virtue of the bylaws of said Association, Article I, Section 1-(b), herein-before referred to, no Session of said Association being now held and no such Session having been held since September 24 – 29, 1961.

Affiants further certify as Chairman and Secretary, respectively, of the Executive Council of said Association that at a meeting of the Executive Council of General Association of Davidian Seventh-Day Adventists held at the general headquarters of said Association at Mt. Carmel Center, Waco, McLennan County, Texas, on December 24th, 1961, the entire membership of said Council being present and voting, the following Resolution was unanimously approved and adopted by said Executive Council of said Association:

“Be it resolved that the Board of Trustees of general Association of Davidian Seventh-Day Adventist be authorized to sell to William J. Strickland and wife, Virginia B. Strickland, 500 acres of land, more or less, out of the Tomas de la Vesa Survey, abstract 43, McLennan County, Texas, with all improvements on this land for $62,500.00 cash on condition that sewer drainage easement be retained by said Association.”

Affiants, as such officers aforesaid, further certify that the Executive Council of said Association at a meeting of the Executive Council of General Association of Davidian (some words missing from page)

[First part missing] General Association of Davidian Seventh – Day Adventists be authorized to sell to L. S. Powell and wife, Martha Powell, 370 acres of land, more or less, out of Tomas de la vega Survey, McLennan County, Texas, said tract being joined on the South by Old [H]exia Highway and on the East fronting a gravel road, and all improvements thereon for $52,500.00 cash.”

Affiants further state that they are well acquainted with and familiar with the facts herein – before stated and that the same are in all things true and correct, to certify all of which witness the hands of Affiants under oath this the 1st day of February, 1962.
